Terms of Service & Commercial License

Agentium Start is a commercial software source kit developed and provided by AGENTIUM LABS (OPC) PRIVATE LIMITED (“Licensor”, “we”, “us”). Earlier product materials and repository archives may refer to the kit under the working code name GetBolt.

These terms explain the permitted use of the kit, included source updates, product support, and licensing restrictions. Purchases completed through Paddle are sold and processed by Paddle as the authorized reseller and merchant of record, and are subject to Paddle’s applicable buyer and payment terms.

1. License Grant and Permanent Rights

After payment is confirmed, we grant you a non-exclusive license to use, customize, and modify the received versions of Agentium Start within your edition’s permitted scope:

• Core Edition ($249): Licensed for one (1) named developer seat within your organization to build, customize, and maintain an unlimited number of commercial SaaS applications, internal tools, and web applications owned and operated by you or your organization.
• Agency Edition ($599): Licensed for up to five (5) named developer seats within your organization to build, customize, and deliver commercial applications for your own business and for paying third-party clients.

Permanent use: Your right to use received versions of the source code does not expire when the 3-month update period or 1-month support window concludes. You retain ongoing rights to run and maintain applications built with those versions, subject to continuous compliance with this agreement.

2. Agency Client Handover Policy

Agency licensees are expressly permitted to deliver a completed client application, including the source code necessary to operate, host, and maintain that specific application, to the relevant client.

The client may operate, modify, and maintain their delivered application. However, client handover does not grant the client an independent right to extract or redistribute Agentium Start, sell the foundation as a development kit, or use the underlying kit to build unrelated applications without an appropriate separate license.

Access to the reusable source kit remains limited to licensed developers, permitted service providers, and authorized recipients of completed client applications under these Agency terms. Source code repositories must remain private.

3. Permitted Uses and Anti-Redistribution Restrictions

You may commercialize applications built with Agentium Start within your license scope. You may deploy compiled, bundled, or server-side application builds to hosting and cloud infrastructure you or your clients control.

You must NOT, directly or indirectly:

• Redistribute the source kit itself, publish its reusable source code in public repositories, or sell a competing starter kit, boilerplate, source template, or substantially equivalent development product.
• Share developer seats across unrelated organizations or pool licenses among unaffiliated teams.
• Publish or license reusable component libraries extracted directly from the core foundation as standalone commercial products.
• Remove required copyright, license notices, and third-party dependency attributions preserved in the source code files. (End-user applications are not required to display public-facing Agentium branding).

4. Permitted AI Coding Workflows

Licensed developers may use AI coding assistants (such as Cursor, Claude Code, GitHub Copilot, or Antigravity) to work on permitted applications, provided such use adheres to the terms of your license and your development accounts use private, non-training configurations.

The source kit must not be published as an open training dataset or supplied to train publicly available foundation models.

5. Updates, Product Support, and Assisted Launch

3 Months of Updates: Your license includes access to official updates, dependency upgrades, and new foundation templates released during the 3 months following your purchase date. Received versions remain usable indefinitely after 3 months; access to subsequent version releases follows our stated renewal policy.

1 Month Product Support via Email: Email support for setup, installation guidance, and reproducible kit defects is included for 1 month from purchase at care@agentiumlabs.com. Support covers core foundation code and documented flows, and does not include bespoke feature engineering, data migration, or custom application debugging.

Assisted Launch Package ($999): Combines the Core license with a scoped setup service. We assist with configuring agreed authentication, transactional mail, and billing connections, deploying the reference foundation to your Vercel and Neon accounts, and completing a handover session. Ongoing third-party hosting, database, and domain costs remain the buyer’s responsibility.

6. Refund Policy Summary

Agentium Start is delivered electronically as source code. If it is delivered, it cannot be refunded for change of mind. Refund eligibility and defect remediation are governed by our authoritative Refund Policy and applicable consumer laws. Delivery of the source code does not eliminate remedies for reproducible defects in documented core workflows that cannot be resolved in a supported environment.

7. Warranties and Limitation of Liability

Except as expressly required by applicable statutory consumer rights that cannot be excluded by contract, the software is provided “as is” without warranties of any kind. To the extent permitted by applicable law, Licensor’s total aggregate liability arising out of or related to this agreement shall not exceed the amount actually paid by you for the license, excluding indirect, consequential, or punitive damages.

8. Termination

We may terminate this license upon written notice if you commit a material breach of this agreement and fail to remedy the breach within thirty (30) days of receiving written notice. In the case of intentional public redistribution or resale of the core source kit, termination is immediate.

Termination of an Agency license does not invalidate or affect already-delivered client applications that were properly licensed and delivered to clients prior to termination.

9. Governing Law and Jurisdiction

This agreement is governed by the laws of India. Subject to mandatory local dispute resolution rules where applicable, disputes arising under this agreement shall be subject to the jurisdiction of the competent courts in Gautam Buddh Nagar, Uttar Pradesh, India.
